Marketplace Buyer Terms

These Marketplace Buyer Terms apply when you use EdiWay to browse, order or pay for products, services, activities or other items offered through an EdiWay school marketplace.

Please read these terms before placing an order.

They explain the relationship between you, the seller and EdiWay; how orders and payments work; who is responsible for products and fulfilment; and how cancellations, returns, refunds and disputes are handled.

These terms should be read together with the EdiWay Platform Terms, Privacy Policy, Refunds, Returns and Cancellations Policy and any additional terms shown by the seller before you place an order.

Nothing in these terms removes any statutory rights you have as a consumer.

1. ABOUT EDIWAY MARKETPLACE

EdiWay Marketplace allows participating schools and other approved sellers to make products, services and school-related opportunities available to eligible buyers through the EdiWay platform.

Depending on the seller and configuration, marketplace items may include school uniform, equipment, learning resources, supplies, events, clubs, activities, trips or other school-approved products and services.

EdiWay provides the technology used to display products, support eligible buyer access, create orders, process or record payment activity, provide receipts and maintain relevant marketplace records.

The seller remains responsible for the products and services it offers except where EdiWay is expressly identified as the seller at checkout.


2. WHO IS THE SELLER?

The seller responsible for an item should be identified on the product page, marketplace page, checkout or order information.

Unless EdiWay is expressly identified as the seller, your contract for the product or service is with the school or other seller identified for that purchase.

The seller is responsible for matters including the accuracy of its product description, availability, price, product quality, fulfilment, collection or delivery arrangements and seller-specific refund obligations.

EdiWay provides the marketplace infrastructure and does not automatically become the seller merely because the transaction takes place through the EdiWay platform.


3. WHO CAN BUY?

Marketplace access may depend on your relationship with a participating school.

A school may allow some products to be visible publicly while restricting checkout to eligible parents, carers or other authorised users.

Where buyer eligibility depends on a learner relationship, you must use the EdiWay account connected to the appropriate learner and school.

Having an EdiWay account does not automatically give you permission to purchase from every school marketplace.

A previous relationship with a school does not necessarily provide continuing purchasing access after that relationship ends.


4. PARENTS AND CARERS WITH MORE THAN ONE LEARNER

Your EdiWay account may be connected to more than one learner or more than one school.

Where an item relates to a particular learner, school, trip, club or activity, you are responsible for checking that you have selected the correct context before completing the purchase.

The checkout information should make the relevant seller and purchase context clear.

An order associated with one learner should not automatically be treated as applying to another learner.


5. PRODUCT INFORMATION

Sellers are responsible for providing appropriate information about the items they offer.

Depending on the product, this may include its description, price, available options, size, quantity, stock position, collection arrangements, delivery information, relevant dates and any seller-specific conditions.

You should review this information carefully before ordering.

Product images may be illustrative where the seller makes that clear.

Where particular specifications are important to your decision, check the product description or contact the seller before purchasing.


6. PRICES

The price payable should be shown before you place your order.

Where applicable, the checkout should also show mandatory charges that form part of the total price.

Optional extras must not be added without the appropriate buyer choice or consent.

Sellers remain responsible for the prices they set and for the tax treatment of their sales.

EdiWay’s recording of seller-supplied tax information does not constitute tax advice or determine the seller’s VAT or other tax obligations.


7. EDIWAY MARKETPLACE COMMISSION

EdiWay currently charges participating schools 0% EdiWay marketplace commission on marketplace sales.

This means EdiWay does not take an additional percentage commission from the seller’s sale value through its marketplace commission model.

Payment-processing charges applied by Stripe or another supported payment provider are separate.

The absence of an EdiWay marketplace commission does not change the price you have agreed to pay at checkout.


8. PLACING AN ORDER

Before submitting an order, you should have an opportunity to review the relevant items, quantities, options, seller, price and applicable fulfilment information.

By selecting the final purchase or payment action, you are asking to enter into a contract for the items shown at checkout.

Submission of an order does not necessarily mean that the seller has accepted it.

The seller may need to verify availability, eligibility, stock, payment or another legitimate order condition.

An order becomes binding when it is accepted in accordance with the checkout and confirmation process.

You should receive appropriate confirmation or order information that you can retain.


9. ORDER ERRORS

You are responsible for checking your order before submitting it.

Where the platform allows an error to be corrected before checkout, you should make the correction before completing payment.

If you notice an error after placing your order, contact the seller or the relevant support route as soon as possible.

Whether an order can be changed after acceptance will depend on the item, fulfilment stage, seller arrangements and your applicable consumer rights.


10. PAYMENT PROCESSING

Marketplace card payments are processed through the payment workflow enabled for the relevant seller.

EdiWay’s marketplace architecture uses Stripe Connect for supported marketplace payment processing.

Stripe or another enabled payment provider may collect and process payment information in accordance with its own terms and privacy arrangements.

EdiWay may retain order references, payment status, transaction references, refund status, reconciliation information and other marketplace records needed to operate the platform.

A payment being submitted does not necessarily mean that it has successfully completed.

The order may show states reflecting payment processing, failure, cancellation, refund, dispute or another applicable outcome.


11. PAYMENT AUTHORISATION

You must use a payment method that you are authorised to use.

You must not knowingly provide false payment information or use another person’s payment method without appropriate authority.

Your bank, card issuer or payment provider may apply its own verification, security or fraud-prevention checks.

EdiWay does not guarantee that a payment provider or card issuer will authorise a transaction.


12. PAYMENT SECURITY

Do not send full card details to a school or EdiWay through ordinary messages, support tickets or email unless an expressly approved secure payment process requires it.

Payment credentials should be entered only through the supported checkout route.

You should report suspected unauthorised account or payment activity promptly.


13. STOCK AND AVAILABILITY

Displaying an item does not guarantee that unlimited stock or availability exists.

A seller may withdraw an item, correct an error or decline an order where there is a legitimate reason, including lack of stock, incorrect product information, buyer ineligibility or payment failure.

Where an accepted order cannot be fulfilled and payment has already been taken, the appropriate refund process should be followed.

Seller cancellation rights must not be exercised in a way that removes statutory consumer protections.


14. COLLECTION AND DELIVERY

The product page or checkout should explain whether an item is to be collected, delivered, supplied digitally or fulfilled in another way.

The current EdiWay marketplace model may use school collection as the default fulfilment route where the relevant school has not enabled another supported arrangement.

Where collection applies, the seller is responsible for providing appropriate collection information.

Where delivery applies, the relevant seller terms should explain the delivery method, cost and expected timing.

Do not assume that delivery is available simply because an item appears in an online store.


15. SCHOOL COLLECTIONS

Where an item is collected from a school or another seller location, you may be asked to provide suitable order or identity information before the item is released.

Collection arrangements must be followed reasonably and safely.

A collection requirement does not remove any legal rights you may have where goods are faulty, misdescribed or otherwise fail to meet applicable consumer standards.


16. TRIPS

Payment for a school trip does not automatically provide parental consent or confirm that the learner is approved to attend.

EdiWay keeps the payment and consent processes separate.

Trip participation may depend on additional school requirements such as consent, eligibility, availability, forms, medical or accessibility arrangements, behaviour expectations or other legitimate school processes.

The relevant school remains responsible for its trip decisions and arrangements.


17. CLUBS, ACTIVITIES AND EVENTS

Purchases relating to clubs, activities or events may be subject to specific dates, capacity limits, participation conditions and seller rules.

Some time-specific leisure services can have different statutory cancellation rules from ordinary goods purchased online.

Any material restrictions should be made clear before the order is placed.

Nothing in a seller’s individual terms may remove consumer rights that apply by law.


18. DIGITAL CONTENT

A seller may offer digital resources or other digital content.

Where digital content is supplied immediately, consumer cancellation rules can differ from those applying to physical goods.

Where required by law, the buyer must expressly agree to immediate supply and acknowledge any resulting loss of the statutory cancellation right before the digital content is supplied.

If those requirements are not satisfied, statutory rights may continue to apply.

Digital content supplied to consumers must meet the standards required by applicable consumer law.


19. SERVICES

Where you purchase a service rather than goods, the seller is responsible for providing the service in accordance with the agreed description and applicable consumer law.

Consumer services must be provided with reasonable care and skill.

Where no specific time or price has been properly agreed, additional statutory rules may apply.


20. YOUR RIGHT TO CANCEL

Consumers purchasing online may have statutory cancellation rights under the Consumer Contracts Regulations 2013.

For many physical goods bought at a distance, the cancellation period is normally 14 days from the day after the consumer receives the goods.

For many service contracts, the cancellation period is normally 14 days from the day after the contract is entered into.

Different rules can apply to digital content and certain categories of goods or services.

Exceptions may also apply, including in circumstances involving personalised goods, some sealed products after opening, perishable items or certain leisure activities provided on a specific date or during a specified period.

The seller should provide the cancellation information applicable to the particular product or service.

Your statutory rights take priority where seller terms conflict with them.


21. RETURNS AND REFUNDS

The seller is normally responsible for determining and processing returns and refunds relating to products it has sold, subject to applicable law and the EdiWay marketplace workflow.

Where a refund is approved, it may need to be returned through the original payment route.

The time taken for funds to appear can depend on the payment provider and your card issuer or bank.

A refund shown as initiated in EdiWay does not necessarily mean the funds will appear immediately in your bank account.

22. FAULTY, DAMAGED OR MISDESCRIBED GOODS

Your statutory rights are not limited by these terms.

Where you are a consumer, goods must meet applicable legal standards, including being as described, of satisfactory quality and fit for their intended purpose where the relevant conditions apply.

You may have statutory rights to remedies such as rejection, repair, replacement, price reduction or refund depending on the circumstances and timing.

Contact the seller promptly if you believe an item is faulty, damaged or materially different from its description.


23. DIGITAL CONTENT AND SERVICE PROBLEMS

Consumers also have statutory protections for digital content and services.

Digital content must meet applicable legal standards.

Services must be provided with reasonable care and skill and in accordance with relevant information forming part of the contract.

These terms do not exclude or reduce those statutory rights.


24. SCHOOL-SPECIFIC TERMS

A seller may apply additional terms to a particular product, service, event, trip or activity.

Those additional terms should be available before you place the order where they materially affect the purchase.

Seller-specific terms cannot lawfully remove statutory rights or override these Marketplace Buyer Terms where these terms are intended to apply to the EdiWay marketplace process.

Where there is an inconsistency, mandatory law takes priority.


25. BUYER RESPONSIBILITIES

You agree to provide accurate information, use the correct EdiWay account and learner relationship, review the purchase details before checkout, pay amounts properly due, follow reasonable collection or fulfilment instructions and use purchased products appropriately.

You must not use another person’s account or family relationship to bypass marketplace eligibility controls.

You should retain your order confirmation, receipts and relevant communications until the transaction has been completed and any issue has been resolved.


26. ACCOUNT SECURITY

You are responsible for taking reasonable steps to keep your EdiWay account and login credentials secure.

Do not share passwords or permit another person to impersonate you.

Tell EdiWay promptly if you believe your account has been compromised.

Where necessary to protect users, schools, sellers or the marketplace, EdiWay may restrict marketplace activity while suspected misuse is investigated.


27. PROHIBITED ACTIVITY

You must not use EdiWay Marketplace fraudulently, interfere with the checkout or payment process, attempt to obtain products you are not eligible to purchase, abuse refund or dispute processes, manipulate another user’s account, introduce malicious software or attempt to bypass marketplace, school or payment security controls.

Serious or repeated misuse may result in marketplace access being restricted in accordance with the wider Platform Terms.


28. RECEIPTS AND ORDER HISTORY

Where supported, EdiWay may provide an order history, receipt or payment record within your family account.

These records can help identify the seller, items, quantities, price, payment status and relevant transaction reference.

A marketplace receipt is separate from the learner’s attendance, assessment, safeguarding, SEND or academic record.

Marketplace activity should not alter unrelated learner records simply because a purchase concerns the same child.


29. REFUNDS DO NOT CHANGE OTHER SCHOOL RECORDS

A cancelled or refunded marketplace order does not by itself cancel a learner’s enrolment, alter attendance, change academic information or reverse another school decision.

Similarly, refunding a trip payment does not determine how a separate consent, participation or school-policy workflow should be handled.

Commercial and education workflows remain connected where useful but retain their separate purposes.


30. PAYMENT DISPUTES AND CHARGEBACKS

A payment dispute may involve the seller, EdiWay’s marketplace records, Stripe or another payment provider, your bank or your card issuer.

You should normally contact the seller first where the problem concerns the product, fulfilment or refund.

EdiWay may assist with relevant marketplace and transaction records where appropriate.

Nothing in these terms prevents you from exercising lawful rights available through your payment provider or card issuer.

EdiWay does not guarantee that a chargeback or payment dispute will be decided in your favour.


31. COMPLAINTS

Where your complaint concerns the product, service, collection, delivery, quality, event or seller decision, contact the seller using the details provided with the order.

Where the issue concerns the EdiWay platform, account access or marketplace functionality, contact EdiWay support.

Some issues may require cooperation between EdiWay, the seller and the payment provider.

Submitting a support request does not itself determine liability or entitlement to a refund.


32. PRIVACY

Marketplace transactions require certain information to be processed so that the order can be created, paid for, fulfilled, reconciled and supported.

This may include account information, school and learner relationship context, order details, payment status and marketplace communications.

Only information necessary for the marketplace purpose should be used.

Payment providers may process payment information under their own privacy arrangements.

33. LEARNER INFORMATION

A school marketplace purchase may be linked to a learner where that context is necessary—for example, a uniform order, trip, club or learner-specific resource.

Marketplace pages should not expose unrelated private learner information merely to enable a purchase.

The fact that you can purchase an item relating to a learner does not create wider access to that learner’s record.


34. PLATFORM AVAILABILITY

EdiWay aims to provide reliable marketplace functionality but does not promise uninterrupted availability.

Marketplace access may occasionally be affected by maintenance, software changes, payment-provider availability, school configuration or technical failure.

Where a payment or order is interrupted, users should check the confirmed order and payment state before attempting the transaction again.

This helps reduce accidental duplicate orders or payments.


35. LIVE TESTING AND PRODUCT DEVELOPMENT

Some EdiWay marketplace functions may remain within controlled rollout or live testing.

Where a capability is still under development, EdiWay may limit access, change the workflow or temporarily withdraw that functionality where reasonably necessary.

Changes to platform functionality do not remove rights relating to an order that has already formed a binding contract.


36. EDIWAY’S RESPONSIBILITY

Where EdiWay is not the seller, the seller remains responsible for the goods, services or digital content supplied under the purchase contract.

EdiWay remains responsible for obligations that apply to EdiWay itself as the marketplace or platform provider.

Nothing in these terms excludes or limits liability where doing so would be unlawful.

In particular, these terms do not exclude liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or remove statutory consumer rights that cannot lawfully be excluded.


37. SELLER RESPONSIBILITY

Where a school or other third party is identified as the seller, questions about the quality, description, availability, fulfilment or suitability of its product should normally be directed to that seller.

EdiWay may provide tools for communication, order status and payment records but does not guarantee the quality of every third-party product merely because it is displayed through the marketplace.

This does not affect any independent legal responsibility EdiWay may have in relation to operating the marketplace itself.


38. NO EDIWAY ENDORSEMENT OF EVERY PRODUCT

Availability through EdiWay Marketplace does not mean that EdiWay independently endorses, certifies or guarantees every product, activity, educational resource or service offered by a seller.

The relevant school or seller is responsible for deciding what it offers through its storefront.

Where an educational resource is purchased, that purchase should not be treated as an EdiWay diagnosis, professional recommendation or guarantee of educational suitability for a particular learner.


39. CHANGES TO THESE TERMS

EdiWay may update these Marketplace Buyer Terms to reflect changes in the marketplace, payment arrangements, consumer law, security requirements or platform functionality.

The version that applies to a completed order will normally be the version in force when that order was placed, subject to mandatory legal requirements.

Material changes should not retrospectively remove rights already acquired under an existing purchase.

The current version and last-updated date should remain available on this page.


40. OTHER TERMS

These Marketplace Buyer Terms operate alongside other applicable EdiWay terms and policies.

and any product-specific terms provided by the relevant seller.

Where mandatory law provides stronger rights, the mandatory law takes priority.


41. CONSUMER RIGHTS

Nothing in these terms is intended to exclude or restrict rights provided by applicable consumer law.

For UK consumer purchases, relevant protections may include the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, and consumer-protection provisions within the Digital Markets, Competition and Consumers Act 2024, as amended or replaced from time to time.

The legal position can depend on what was purchased, who sold it, how it was supplied and whether you were acting as a consumer.


42. GOVERNING LAW

These terms are governed by the laws of England and Wales.

Where you are a consumer resident elsewhere in the United Kingdom, this clause does not remove any mandatory consumer protections or rights to bring proceedings that you have under the laws applicable to you.

Nothing in these terms prevents the parties from attempting to resolve a complaint without court proceedings.
